This legal basics module of the Foundations 101 virtual seminar, hear an overview of all private foundation rules, from filing the Form 990-PF to public disclosure rules and the self-dealing rules. This survey of the rules will empower you to know when to raise questions with a legal professional.

- Restate the definition of disqualified persons and know the three steps to identify potential self-dealing

Andrew Schulz, Of Counsel, Adler & Colvin
Mr. Schulz is Of Counsel at the law firm of Adler & Colvin, where he represents clients including public charities, private foundations, individual and corporate donors, nonprofit advocacy groups, and others. His practice emphasizes corporate governance and federal and state tax law matters unique to nonprofit and tax-exempt organizations. Prior to joining Adler & Colvin, Mr. Schulz served as General Counsel for New Venture Fund, where he provided guidance to the organization and its fiscally sponsored projects on a range of corporate governance, tax, advocacy, and other legal issues. Mr. Schulz has also served as General Counsel for Arabella Advisors, Executive Vice President at Foundation Source, and Vice President of Legal and Government Relations at the Council on Foundations. Mr. Schulz is a frequent speaker at national conferences, including the American Bar Association, Georgetown Law Representing & Managing Tax-Exempt Organizations, the University of Texas School of Law Nonprofit Organizations Institute, and other national and regional events.
Ingrid Mittermaier, Principal, Adler & Colvin
Ingrid Mittermaier is a principal in the San Francisco law firm of Adler & Colvin, which specializes in the representation of nonprofit organizations and their donors in tax and corporate matters. Ms. Mittermaier is a past member of the Executive Committee of the State Bar of California’s Taxation Section and a past member of the adjunct faculty at the University of San Francisco. She has contributed to various publications, including a chapter entitled “United States and California Law” in Charity Law, a part of the European Lawyer Reference Series, published in 2012 and updated in 2019. Ms. Mittermaier received her B.A. with distinction from Stanford University, and received her J.D. from the School of Law (Boalt Hall) of the University of California at Berkeley.
